Web Equip Ltd WILL suspend or cancel a customer's access to any or all internet services, if necessary without notice, when it has been decided that the account has been inappropriately or illegally used or if the account becomes overdue for payment. Discretion in these matters lies solely with Web Equip Ltd.

1. SERVER USE

1.1. Personal accounts are to be used by the primary owner only. Personal account holders are not permitted to resell, store or give away web-hosting services of their website to other parties. Web hosting services are defined as allowing a separate, third party to host content on the owner's web site. Exceptions to this include ad banners, classified ads, and personal ads.
1.2. Web Equip Ltd reserves the right to refuse service and /or access to its servers to anyone without disclosing any reasons.
1.3. Web Equip Ltd does not allow any of the following content to be stored on its servers:

Illegal Material - This includes copyrighted works, commercial audio, video, or music files, and any material which contravenes UK law.
Adult Material - Includes all pornography, erotic images, or otherwise lewd or obscene content. The definition of "adult material" is left entirely to the discretion of Web Equip Ltd.
Warez - Includes pirated software, ROMS, emulators, phreaking, hacking, password cracking. IP spoofing, etc., and encrypting of any of the above. Also includes any sites which provide "links to" or "how to" information about such material.

2 COPYRIGHT ISSUES

2.1. Unless otherwise explicitly stated, all web design (including layout and presentation), graphics, and html on sites designed and delivered by Web Equip Ltd is copyrighted to the client. Any scripting and programming including but not restricted to shopping cart software, membership management, file up/downloading techniques etc are strictly copyright Web Equip Ltd and are protected by UK copyright law and international treaties. You may not copy, distribute, sell, redesign, or take credit for any material which is copyrighted to Web Equip Ltd or any of its clients.
2.2. Please ask at contact@webequip.co.uk for permission to use or copy a particular graphic, script, site, writing or style which is copyright Web Equip Ltd.
2.3. Any and all trademarks and or copyrights on sites hosted by Web Equip Ltd are the property of their respective owners.
2.4. Any and all data held in databases hosted by Web Equip Ltd is the sole responsibility of the client/domain owner. Web Equip Ltd take no responsibility for the content or security of databases managed by the client.

3. UNLIMITED USE POLICY

3.1. Resources are defined as hard-disk capacity, bandwidth and/or processor utilisation.
3.2. Web Equip Ltd offers an unlimited use policy by maintaining very large ratios of bandwidth per customer. In rare cases, Web Equip Ltd may find a customer to be using server resources to such an extent that he or she may jeopardize server performance and resources for other customers. In such instances, Web Equip Ltd reserves the right to impose capacity restrictions for the consideration of all customers.
3.3. When a website is found to be monopolising the resources available, Web Equip Ltd reserves the right to suspend that site immediately. This policy is only implemented in extreme circumstances and is intended to prevent the misuse of our servers and/or infrastructure. Customers may be offered an option whereby Web Equip Ltd continues hosting the website for an additional fee.

4 PAYMENT POLICIES

4.1. All hosting fees must be paid in advance. Although Web Equip Ltd reserves the right to change prices of accounts and/or services at any time all pricing is guaranteed for the period of prepayment.
4.2. Web Equip Ltd allow 30 days for payment. Remiders are automatically sent at 14 days and 7 days and on the due date. If no payment is received 37 days after the invoice was issued the account is automatically suspended and a suspension notice is issued.
4.3. Where payment becomes overdue Web Equip Ltd will suspend the account and any related domain services, at which time a £35 (per domain) reactivation fee will be charged. Accounts will remain suspended until the reactivation fee and the outstanding amounts have been recieved and processed successfully.
4.4. Instant payments can be made on-line by visiting our accounts page. No PayPal account is needed. There is a 3.4% + 20p surcharge (PayPal levvy).
4.5. Unless otherwise stated on the invoice, all cheques should be made payable to "Web Equip Ltd".
4.6. Web Equip Ltd cannot guarantee that a service will be provided until after any received cheques have been cleared.
4.7. Monthly shopping cart payments must be received within 7 days of the due day. The account is suspended if payment is not received within 7 days of the due date and a £35+VAT reinstatement fee becomes payable to reinstate the account.
4.8. If a second monthly shopping cart payment is missed then the account is deleted and a £70+VAT reinstatement fee becomes payable if the client wishes the services to be reinstated.
4.8. If the client wishes to cancel a monthly shopping cart website account within the first 12 months then the balance of the remaining months become payable. Client can cancel at anytime after 12 months with no penalty or refund.

5 TECHNICAL SUPPORT

5.1. Technical support is provided during our normal office hours (see the support page) and is offered on a best endeavours basis.
5.2. Web Equip Ltd aims to respond to all support requests within 1 hour and to resolve all issues within 2 working days.
5.3. If a site visit is required Web Equip Ltd will charge a standard £30 call out fee which includes the first 30 minutes on site. Further time on site will be charged at £30 per hour or part thereof.
5.4. Dealing with telephone support issues outside of normal office hours, or where no support agreement is in place will incur a standard £15 fee.
5.5. Web Equip Ltd do not own data held within it's systems. Data is owned by The Customer unless expressly stated otherwise. It is the sole responsibility of The Customer to ensure their data is being backed up appropriately.

6 TRANSFERS

6.1. No charge is made for transferring .uk domains in to Web Equip Ltd.
6.2. A one-off charge of £20 is made for the transfer out of uk domains.
6.3. A one-off charge of £20 is made for the transfer in or out of non .uk domains to Web Equip Ltd. Please note also the domain registration may need renewing before a transfer can take place.
6.4. UK domains are normally transferred in 24 hours, however Web Equip Ltd has no control over the speed at which a domain transfer takes place. We take action immediately on domain transfers, the existing administrator of the domain however may not.

7 DESIGN SERVICES

7.1. Web Equip Ltd will provide an agreed number of prototype designs after receiving customer instructions.
7.2. Prototypes are refined until customer is happy to proceed.
7.3. Customer is then invoiced 30% of agreed quotation plus any hosting fees, and site development begins.
7.4. Timescales cannot be guaranteed, development takes place on a best endeavours basis.
7.5. Customer is invoiced for the 70% balance on completion, and the site goes live.

8 CANCELLATION AND REFUNDS

8.1. If the customer account is cancelled by Web Equip Ltd, a refund of the remaining prepay period may be payable unless the account is in arrears or a situation exists which makes it unreasonable for Web Equip Ltd to consider a refund.
8.2. Customers may cancel their account at any time with no refund due.
8.3. On cancellation by either party it is at the discretion of Web Equip Ltd as to whether services are maintained until the customer makes alternative arrangements.
8.4. Customers will not receive access to any copyrighted scripting such as shopping cart files or other such proprietary coding. This code is owned by Web Equip Ltd, however the files which go to make up the static elements of the site, including the design, are owned by the customer and can be transferred.

9 SEARCH ENGINE OPTIMISATION (SEO) PLANS

9.1. SEO work is undertaken on a best endeavours basis. No guarantees on results are expressed or implied.
9.2. Web Equip Ltd cannot guarantee that any increase in traffic will result in increased business or enquiries, however we are happy to advise on such issues.
9.3. Work is carried out in the month payment is received. If no payment is received no work will be carried out and no reports produced.
9.4. Customer can cancel monthly payments at anytime with no refund due.

10 INDEMNIFICATION

10.1. The Customer agrees that it shall defend, indemnify, save and hold Web Equip Ltd harmless from any and all demands, liabilities, losses, costs and claims, including reasonable legal fees asserted against Web Equip Ltd, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Web Equip Ltd against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with Web Equip Ltd; (2) any material supplied by customer infringing or allegedlyy infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from Web Equip Ltd's servers.

11 DISCLAIMER

11.1. Web Equip Ltd will not be responsible for any damages you or your business may suffer resulting from the use of Web Equip Ltd's facilities, products or services. Web Equip Ltd makes no warranties of any kind, expressed or implied for goods or services provided. Web Equip Ltd disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by Web Equip Ltd and its suppliers and employees. Web Equip Ltd reserves the right to revise its policies at any time.
